A Secretaria de Prêmios e Apostas do Ministério da Fazenda publicou nesta quarta-feira (22) no Diário Oficial da União a Portaria SPA/MF nº 827, de 21 de maio de 2024, estabelecendo as regras e condições para a obtenção de autorização para a exploração comercial da modalidade de apostas lotéricas de odds fixas por agentes econômicos privados em todo o território nacional. O regulamento estabelece que o prazo para a adaptação das pessoas jurídicas que estavam em operação no Brasil no momento da publicação da Lei nº 14.790/2023, às disposições legais e regulamentares em vigor relativas às apostas lotéricas de odds fixas, começa na data de publicação desta portaria (21 de maio de 2024) e termina em 31 de dezembro de 2024. A partir de 1º de janeiro de 2025, as pessoas jurídicas que estiverem em operação no Brasil sem a devida autorização da SPA/MF para a exploração comercial da modalidade de apostas lotéricas de odds fixas estarão sujeitas a penalidades relevantes. Somente as pessoas jurídicas que obtiverem autorização prévia da Secretaria de Prêmios e Apostas do Ministério da Fazenda poderão operar comercialmente as apostas lotéricas de odds fixas em todo o território nacional. Para se qualificar para essa autorização, as pessoas jurídicas devem ser constituídas de acordo com a legislação brasileira e ter sua sede e administração localizadas no território nacional. Uma pessoa jurídica nacional, subsidiária de uma empresa estrangeira, estabelecida de acordo com as leis brasileiras e com sede e administração no território nacional, pode receber autorização para operar apostas em loterias de probabilidades fixas, desde que pelo menos 20% do capital social da pessoa jurídica seja detido por um brasileiro. As pessoas jurídicas que são filiais, subsidiárias, agências ou representações de empresas estrangeiras com sede no exterior não se qualificam para essa autorização. A concessão de autorização será limitada às pessoas jurídicas solicitantes estabelecidas como empresas de responsabilidade limitada e/ou corporações. A autorização será válida por cinco anos e permitirá que a pessoa jurídica explore até três marcas comerciais em seus canais eletrônicos. O custo da autorização será de R$ 30 milhões. Ele será pessoal, inegociável e intransferível. As pessoas jurídicas interessadas podem solicitar a autorização a qualquer momento, seguindo o procedimento estabelecido nesta portaria. A autorização concedida pode ser revista sempre que houver fusão, cisão, aquisição, transformação ou transferência ou modificação do controle corporativo direto ou indireto da pessoa jurídica autorizada. No prazo de trinta dias após a ocorrência dessas situações, as operadoras autorizadas deverão apresentar à SPA/MF toda a documentação necessária para comprovar que continuam cumprindo as regras e condições estabelecidas na portaria e demais normas legais aplicáveis. A operadora tem a opção de solicitar uma consulta prévia à SPA/MF para garantir que as mudanças corporativas planejadas não resultem na revisão da autorização concedida. A SPA/MF terá até 150 dias para analisar a solicitação, contados a partir da data de apresentação da documentação ou da formalização da consulta, conforme o caso. Isso será feito por meio de um processo administrativo específico, no qual será garantido à parte interessada o direito ao devido processo legal e à defesa. A solicitação para obtenção de autorização para operações comerciais deverá ser acompanhada de documentos que comprovem a qualificação jurídica, a regularidade fiscal e trabalhista, a integridade, a qualificação econômico-financeira e a qualificação técnica. A solicitação de autorização, as declarações e outros formulários anexos devem ser preenchidos e assinados digitalmente, seguindo as instruções fornecidas para cada documento. Os documentos originalmente produzidos em um idioma estrangeiro devem ser traduzidos para o português por um tradutor juramentado brasileiro. A qualificação legal deve ser comprovada por meio da apresentação de vários documentos e do preenchimento dos formulários anexos. Com relação à qualificação contábil e financeira, é necessário garantir o manuseio adequado e a segurança dos dados pessoais; a operação segura do sistema de apostas; a integridade e a conformidade; o atendimento ao cliente e os mecanismos de ouvidoria; e a comunicação com o Ministério das Finanças, com os indivíduos responsáveis por essas áreas ocupando cargos de diretor ou equivalentes. A pessoa jurídica solicitante deve se registrar no Registro Comercial com o objetivo comercial principal de “Exploração de Apostas em Odds Fixas”, usando a Classificação Nacional de Atividades Econômicas – CNAE 9200-3/99, subclasse “Exploração de jogos e apostas não especificados anteriormente”. De acordo com o regulamento, a comprovação da integridade será demonstrada por meio da apresentação de vários documentos, declarações e certificados. Além disso, deve ser fornecida uma declaração sobre a origem legal dos recursos que compõem o capital social da pessoa jurídica e de seus controladores, bem como dos proprietários beneficiários finais, diretores e representantes legais, se forem pessoas físicas, mesmo que estrangeiras. Isso inclui certidões de antecedentes criminais emitidas pela Polícia Federal e pela Polícia Civil do estado ou do Distrito Federal do domicílio do indivíduo, bem como certidões emitidas por tribunais federais e estaduais ou do Distrito Federal e Territórios do domicílio do indivíduo, comprovando a ausência de condenações por improbidade administrativa ou penalidades criminais que impeçam, mesmo que temporariamente, o acesso a cargos públicos por decisão judicial definitiva. Para pessoas físicas estrangeiras, além dos requisitos para cidadãos brasileiros, também devem ser apresentados documentos equivalentes emitidos por autoridades competentes em seus países de origem. A pessoa jurídica solicitante deverá manter à disposição do SAP/MF os documentos que comprovem a origem lícita dos recursos. A qualificação econômica e financeira da pessoa jurídica solicitante será verificada mediante a apresentação de documentos e certificados. De acordo com os regulamentos, é obrigatória a comprovação da constituição de uma reserva financeira de, no mínimo, R$ 5 milhões, conforme exigido pela portaria de meios de pagamento, a comprovação de que o capital social mínimo de R$ 30 milhões foi totalmente integralizado em moeda corrente, bem como a comprovação de um patrimônio líquido mínimo de R$ 30 milhões, além de uma declaração relativa à capacidade econômica e financeira dos controladores (Anexo X). New Ordinance Allows Legal Entities to Operate Up to Three Online Betting Brands for Five Years at R$30 Million The authorization, costing R$ 30 million, allows a legal entity to operate three commercial brands on electronic channels for five years. It’s personal, non-negotiable, and non-transferable. Entities may request authorization following established procedures anytime. SPA/MF may review authorization during mergers, splits, acquisitions, transformations, or changes in corporate control. Operators must submit documentation within thirty days of such changes to prove compliance. Operators can consult SPA/MF before corporate changes to avoid affecting authorization. SPA/MF will analyze such requests within 150 days, ensuring due process. Authorization applications must digitally include documents verifying legal, tax, and labor qualifications, integrity, economic-financial capability, and technical qualifications. Foreign documents must be translated into Portuguese by a sworn Brazilian translator. Legal qualification requires various documents. Economic-financial qualification involves data security, safe betting system operation, integrity, compliance, customer service, and Ministry of Finance communication. Responsible individuals must hold director-level positions. The requesting entity must register with the Commercial Registry under CNAE 9200-3/99, focusing on “Fixed Odds Betting Exploration.” Comprehensive Documentation and Integrity Proof Required for Regulatory Compliance The regulation mandates demonstrating integrity through various documents, declarations, and certificates. These include declaring the lawful origin of resources comprising the entity’s share capital, those of its controllers, ultimate beneficial owners, directors, and legal representatives, including foreign nationals. The entity must submit certificates from the Federal Police, state or Federal District Civil Police, and federal and state courts to prove the absence of convictions barring access to public office. Foreign nationals must provide equivalent documents from their countries of origin. The entity must maintain records proving the lawful origin of resources accessible to SAP/MF. Economic and financial qualification will be assessed through documents and certificates, including proof of a financial reserve of at least R$ 5 million, evidence of fully paid minimum share capital of R$ 30 million, proof of a minimum net worth of R$ 30 million, and a declaration of controllers’ economic and financial capacity (Annex X). Companies established less than a year ago must furnish an opening balance sheet, projected cash flow for the next two financial years, and a report detailing economic and financial assumptions, signed by the financial director or equivalent. Essential Integrity and Financial Requirements for Legal Entities in Betting Sector To operate more than three commercial brands, entities must make additional payments and follow procedures. Each extra authorization requires paying R$ 30 million, establishing a financial reserve of R$ 5 million, paying R$ 15 million in currency, and maintaining a net worth equal to the share capital. To demonstrate technical qualification, the entity must provide either a request protocol or a technical certificate of the betting system from a laboratory recognized by SPA/MF, confirming adherence to specified technical requirements.
